Terms and conditions

These conditions govern use of the site and describe the general frame of the service. Each operation is also governed by its own accepted quote, which prevails over this document wherever the two conflict.

1. Purpose and acceptance

1.1 These conditions govern access to and use of the axiralogistics.com site and set out the general frame of the relationship between Axira Logistics, S.R.L. ("Axira") and those who request its services.1.2 Using the site and submitting the quote form imply acceptance of these conditions as worded at that moment.1.3 Where this document and a quote accepted in writing conflict, the quote prevails.

2. Service provider

2.1 Axira Logistics, S.R.L., RNC 133-57916-2, registered office in Santo Domingo, Dominican Republic, with origin operations in Shanghai, China.2.2 Contact email: info@axiralogistics.com.

3. Definitions

3.1 Client: the individual or legal entity requesting or contracting Axira's services.3.2 Quote: the written proposal Axira sends the Client, stating the unit price, the items it is composed of and its validity period.3.3 Operation: the set of services contracted on the basis of an accepted Quote.3.4 Incoterm: the international trade rule published by the International Chamber of Commerce which allocates costs and risks between buyer and seller.

4. Nature of the site

4.1 Informational character. The content of the site describes how Axira works. It is not a firm offer and not a commitment on price, lead time or availability.4.2 Examples. The cards and illustrative figures shown on the site are examples with sample data, and each says so.4.3 Availability. We aim to keep the site continuously available, but we do not guarantee freedom from interruptions caused by maintenance, technical failure or external causes.

5. Quotes

5.1 Free and without commitment. Requesting a quote is free and does not bind the Client. Nor does it bind Axira until Axira sends the Quote in writing and the Client accepts it.5.2 Validity. Each Quote states its own validity period. Once that period passes it must be redone, because factory prices, freight and exchange rates move.5.3 Composition of the price. The product price Axira quotes includes its work. International freight and duties and clearance costs are shown separately from the first Quote and are not included in the product price.5.4 Taxes. Duty, ITBIS and other charges are determined by the product's tariff classification and collected by the Dominican State, not by Axira.5.5 Changes to the order. Any change after acceptance may affect price and schedule. Changes requested after the factory has started production may not be possible or may generate additional costs, which will be communicated to the Client before being applied.5.6 Supervening variations. If a rate Axira does not set — notably freight — changes between the Quote and shipment, the Client will be told the new figure together with the choice of waiting or shipping.

6. Scope and limits of the service

6.1 What Axira does. Identify and verify manufacturers, negotiate and manage the purchase on the Client's behalf, handle samples, inspect before shipment, and coordinate consolidation, freight and clearance through to the Client's warehouse.6.2 What Axira is not. Axira is not a shipping line, an airline or a customs broker. It contracts transport with whoever operates it, and clearance is signed by a licensed customs broker: the Client's, or one Axira provides.6.3 Point of contact. Axira does not provide direct contact between the Client and the factory. The commercial relationship with the manufacturer is held by Axira.6.4 Individual services. The Client may contract the full Operation or specific stages, with the scope set out in the corresponding Quote.

7. Verification and inspection

7.1 Scope. Manufacturer verification is carried out on verifiable information, such as the business licence, installed capacity and export record. Pre-shipment inspection is documented and delivered to the Client.7.2 Limit. These checks reduce risk significantly, but they do not eliminate it and are not a warranty of the product or of the manufacturer's future solvency.

8. The Client's obligations

8.1 Accuracy. The Client is responsible for the accuracy and sufficiency of the technical information it provides: dimensions, specifications, materials, required certifications and intended use. An incorrect specification becomes an incorrect product.8.2 Legality. The Client warrants that the goods are lawful to import into the Dominican Republic and that it holds the permits, registrations or licences their nature requires. Axira does not handle prohibited products or operations requiring authorisations the Client does not hold.8.3 Payment. The Client shall meet payments on the terms and dates set out in the accepted Quote. Failure to do so may suspend the Operation.

9. Liability

9.1 Scope. Axira is liable for what is under its control: managing the purchase, the inspection it documents and coordinating the shipment.9.2 Exclusions. Axira is not liable for damage or delay caused by third parties or by events beyond its control, including: port congestion, weather, casualties in transit, regulatory change, strikes, customs authority decisions, or manufacturer breaches that were not detectable through the verification and inspection described in clause 7.9.3 Cap. Save for wilful misconduct or gross negligence, and to the extent permitted by applicable law, Axira's liability to the Client for an Operation shall not exceed the amount the Client has paid it for that same Operation.9.4 Indirect damage. Axira is not liable for loss of profit or for indirect or consequential damage.

10. Cargo insurance

10.1 Axira recommends that the Client take out cargo insurance on every Operation. Insurance is contracted separately and is not included in the product price.10.2 If the Client chooses not to insure the goods, it assumes the risk of loss or damage in transit in accordance with the agreed Incoterm.

11. Force majeure

11.1 Neither party shall be liable for failure caused by force majeure or fortuitous event. In that case the affected obligations are suspended for as long as the impediment lasts, and the parties shall agree in good faith on a new schedule or, if the impediment persists, on terminating the Operation.

12. Intellectual property

12.1 The Axira name and logo, together with the copy, illustrations, icons and other elements of the site, belong to Axira or are used with permission.12.2 Content may be quoted with attribution and a link to the site. It may not be reproduced as your own, incorporated into third-party commercial material, or used to present yourself as Axira or as its representative.

13. Data protection

13.1 The processing of personal data the Client provides through the site is governed by the Privacy policy, which forms an integral part of these conditions.

14. Severability

14.1 If any clause is held void or unenforceable, the remainder shall stay in force, and the affected clause shall be construed as closely as possible to the parties' intent.

15. Changes

15.1 Axira may update these conditions. The wording applying to an Operation is the one published on the date the Client accepted the corresponding Quote.

16. Governing law and jurisdiction

16.1 These conditions are governed by the laws of the Dominican Republic.16.2 For any dispute, the parties submit to the courts of Santo Domingo, Distrito Nacional, unless the accepted Quote provides for another forum or an arbitration mechanism.
